Charles Hecht is a prominent securities industry attorney. He joined the Division of Corporation Finance of the Securities and Exchange Commission in Washington D.C. in 1967 as its Special Securities Counsel. As a combination attorney and financial analyst, he reviewed merger proxies, public offering registration statements and handled no action letters. He was also involved in working for the Enforcement Section of the Division of Corporation Finance and handled tax issues when requested. He left the SEC for private practice specializing primarily in public offerings, private placements and securities counseling.
In 1971, he formed his own firm in New York City. When the stock market had a serious downturn in 1973, he defended clients in securities enforcement actions instituted by the SEC and the CFTC (the “Commodities Future Trading Commission”). His firm grew to concentrate on mergers, reverse mergers, earn-outs, representing targets and as a result of winning a well-publicized case, defendants in SEC, CFTC and state investigations and enforcement actions.
Mr. Hecht has published numerous articles, including the article that defined “Earnouts”, “Certificates of Contingent Interests” and the Smart Pros annual survey of recent developments in the federal securities laws. He lectured frequently for Smart Pros, CLE and other financial professional forums.
Mr. Hecht holds a BA in Economics from Cornell University and a Bachelor of Laws from Cornell Law School. He is an acclaimed sculptor utilizing innovative techniques with steel and glass and has worked extensively in China.
